01 Agreement
These Terms & Conditions (“Terms”) govern your access to and use of the NHK Vision website and services provided by NHK Vision LLC (“NHK Vision,” “we,” “our,” or “us”). By using our website, booking a strategy call, or engaging us for services, you (“Client” or “you”) agree to be bound by these Terms. If you do not agree, do not use our services.
02 Services
NHK Vision provides marketing systems, including funnel design, automation, lead generation, CRM implementation, and related consulting services. Specific deliverables, scope, timelines, and fees for each engagement are defined in a separate written proposal or statement of work (SOW), which is incorporated into these Terms by reference.
We reserve the right to refuse service, decline engagements, or terminate work where the requested scope falls outside our area of expertise or conflicts with our standards.
03 Engagement & payment
Fees
All fees are stated in your SOW or proposal. Unless otherwise specified, fees are quoted in USD and are exclusive of applicable taxes.
Payment terms
- Initial deposit (typically 50%) is due before work begins.
- Remaining balance is due according to the milestones outlined in your SOW.
- Late payments accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower.
- We reserve the right to suspend work for unpaid invoices beyond 14 days past due.
Refunds
Due to the custom nature of our services, fees are non-refundable once work has commenced, except as required by law or expressly stated in your SOW.
04 Client responsibilities
To ensure a successful engagement, you agree to:
- Provide accurate, complete, and timely information, content, brand assets, and access required to deliver the services.
- Respond to feedback requests, approvals, and review cycles within reasonable timeframes (typically 3 business days unless otherwise specified).
- Maintain accurate billing information and pay invoices on time.
- Comply with all applicable laws, including advertising, privacy, and consumer protection regulations.
05 Intellectual property
Client materials
You retain all rights to materials you provide to us (logos, copy, brand assets, customer data). You grant us a limited license to use these materials solely for the purpose of delivering the services.
Deliverables
Upon full payment, you receive a perpetual, non-exclusive license to use the deliverables produced under the engagement for your business operations. NHK Vision retains ownership of underlying frameworks, methodologies, templates, and pre-existing tools used in the work.
Portfolio rights
We reserve the right to reference your project, brand, and high-level results in our portfolio, case studies, and marketing materials, unless explicitly agreed otherwise in writing.
06 Confidentiality
Both parties agree to keep confidential any non-public information shared during the engagement, including business strategies, customer data, financials, and proprietary processes. This obligation survives the termination of the engagement.
07 Warranties & disclaimers
We perform our services with reasonable care, skill, and professionalism. However, we make no guarantees regarding specific business outcomes, including but not limited to revenue, conversion rates, lead volume, or return on investment.
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
08 Limitation of liability
To the maximum extent permitted by law, NHK Vision’s total cumulative liability arising out of or relating to the services shall not exceed the total fees paid by you in the three (3) months preceding the event giving rise to the claim.
In no event shall we be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, or business interruption, even if advised of the possibility of such damages.
09 Indemnification
You agree to indemnify, defend, and hold harmless NHK Vision, its owners, employees, and contractors from any third-party claims, losses, damages, or expenses (including reasonable attorneys’ fees) arising from: (a) your use of the services or deliverables; (b) your violation of these Terms; or (c) your violation of any law or third-party rights.
10 Termination
Either party may terminate the engagement with written notice if the other party materially breaches these Terms and fails to cure the breach within 14 days. Upon termination:
- You remain responsible for fees incurred up to the termination date.
- We will deliver completed work and any work-in-progress as of the termination date.
- Confidentiality and intellectual property provisions survive termination.
11 Governing law
These Terms are governed by the laws of the State in which NHK Vision LLC is registered, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in the state or federal courts located in that jurisdiction, and both parties consent to personal jurisdiction there.
